These terms and conditions (the 'Agreement') of service for use of Epygi Technologies, Ltd.'s ('Epygi') Session Initiation Protocol service ('SIP Service') constitute a legally binding contract between Epygi and the entity that agrees to and accepts this Agreement ('User'). Access to Epygi's SIP Service is being provided on an 'as is' and 'as available' basis, and Epygi makes no representations or warranties of any kind, whether express or implied, with respect to User's access of the SIP Service, including but not limited to warranties of merchantability, non-infringement, title or fitness for a particular purpose. Further, Epygi makes no representations or warranties that the SIP Service, or User's access thereto, will be available at any given time, or will be free from errors, defects, omissions, inaccuracies, failures or delays in delivery of data. User assumes, and Epygi disclaims, total risk, responsibility, and liability for User's access to and use of the SIP Service.
User may not use the SIP Service for any purpose that is unlawful or in any way violates any applicable governmental law. User may not offer SIP Service or any part thereof for sale or transfer to another person or entity. Also, User is responsible for compliance with all governing foreign and local laws relative to Voice over Internet Protocol (VoIP) calls. User acknowledges that Epygi has informed User that SIP Service does not support E911 emergency services.
Links from Epygi to other sites on the Web do not constitute endorsement of Epygi. These links are provided as an information service only. Epygi does not control such web sites, and is not responsible for their content. User further acknowledges that use of any web site controlled, owned or operated by third parties is governed by the terms and conditions of use for those web sites, and not by Epygi's Agreement. Links to external web sites (including external web sites that are framed by Epygi) or inclusions of advertisements do not constitute an endorsement by Epygi of such sites or the content, product advertising or other materials presented on such sites, but are for User's convenience. User accesses them at User's own risk. Epygi expressly disclaims any liability derived from the use and/or viewing of any links that may appear on the Epygi Web Site. User agrees to hold Epygi harmless from any liability that may result form the use of links that may appear on the Epygi Web Site.
All contents on www.epygi.com and sip.epygi.com ('Epygi Web Site') are protected by copyright. No portion of the information on the Epygi Web Site may be reproduced in any form, or by any means, without the prior written permission from Epygi. Visitor or User is not permitted to alter, distribute, publish, transmit, or create derivative works of any material, lay out, processes or steps found on the Epygi Web Site for any public or commercial purposes.
Epygi respects the privacy of User information, and does not collect personally identifiable information about User except when such User specifically provides such information on a voluntary basis, such as by registering with Epygi. Epygi shall maintain appropriate safeguards to ensure the security, integrity and privacy of information collected from User.
Epygi reserves the right to make changes to the Agreement, the SIP Service, or the fee structure for SIP Service ('Change of Service'). In the event of a Change of Service, Epygi shall notify User at least thirty (30) days in advance of the date on which the Change of Service is to take effect. If User does not accept the Change of Service and wants to terminate this Agreement, then User should notify Epygi to that effect at least ten (10) days prior to Change of Service date. In the event User does not send such notification, User is deemed to have accepted and consented to the Change of Service. It is, however, the responsibility of the User to review the terms of this Agreement each time User accesses the Epygi Web Site. Epygi is not responsible for any damage that may result should User fail to review the Agreement following Change of Service that may be implemented herein.
This Agreement shall be governed by and construed in accordance with the laws of the state of Florida, without regard to choice of law provisions that would cause the application of the law of another jurisdiction.
Failure by either Epygi or User to enforce any of the provisions of this Agreement or any rights with respect hereto or the failure to exercise any option provided hereunder shall in no way be considered to be a waiver of such provisions, rights or options, or to in any way affect the validity of this Agreement. If one or more of the provisions contained in this Agreement are found to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected.
User acknowledges reading this Agreement, understanding it, and consenting to the entire Agreement between Epygi and User. This Agreement supercedes all prior and contemporaneous proposals, discussions, agreements, understandings, and communications, whether written or oral, and may only be amended in writing and upon execution by both User and Epygi.
